Terms of Service

Welcome to Nodem. These Terms of Service ("Terms") form a binding agreement between you and Nodem LLC ("Nodem," "we," "us," or "our") and govern your access to and use of the Nodem website, applications, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 16 years old to use the Service. By using Nodem you represent that you meet this age requirement and that any information you provide is accurate and current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately atsecurity@nodem.app if you suspect unauthorized access.
2. Your content
Nodem is a tool for organising information about people in your personal and professional network ("Your Content"). You retain all rights to Your Content. You grant Nodem a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to the extent necessary to provide the Service to you (for example, syncing across your devices and powering search).
You are solely responsible for Your Content and for ensuring you have any permissions necessary under applicable law (including privacy and data protection law) before adding information about a third party to Nodem.
3. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or the rights of others;
- Collect, store, or share sensitive personal data (such as government IDs, health information, or financial account numbers) about other people;
- Stalk, harass, dox, defame, or threaten any individual;
- Reverse engineer, scrape, or attempt to gain unauthorised access to the Service, our systems, or other users' data;
- Upload malware, send spam, or interfere with the Service's operation;
- Resell, rent, or sublicense the Service without our prior written permission.
4. Co-orbits and shared contact data
Nodem lets you create a "co-orbit" with another Nodem user and share contacts between your networks. When you initiate or accept a co-orbit and share contacts:
- You confirm you have a lawful basis to share that information about the relevant third parties under applicable privacy laws (for example, GDPR Article 6).
- The recipient becomes a separate controller of the shared data on their own account. We cannot guarantee deletion of data the recipient has already viewed, exported, or copied.
- You can revoke a share or end a co-orbit at any time from the co-orbit view. Doing so stops future visibility but does not retroactively undo access the recipient already had.
- You agree not to share information about a person who has asked you not to.
5. Subscriptions, billing, and refunds
Nodem offers a free tier (limited to 20 contacts) and paid "Pro" plans billed on a recurring basis. Paid subscriptions are processed by our reseller Paddle.com, which is the Merchant of Record for all our orders. Paddle provides all customer-service inquiries relating to payments and handles refunds. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle'sBuyer Terms and Refund Policy.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from Settings → Subscription → Manage billing. Cancellation takes effect at the end of the current billing period; you keep Pro access until then.
We offer a 30-day money-back guarantee on first-time Pro purchases. To request a refund, visit paddle.net or contact us atbilling@nodem.app. Statutory refund rights (for example, EU/UK consumer law) are not affected.
6. Free and student plans
The free plan is provided as-is and may change. Student pricing is offered to users who sign up with a verified .edu email address and is intended for personal, non-commercial use by currently enrolled students. We verify your email before applying the discount and may adjust or revoke student pricing if eligibility cannot be confirmed or if we detect abuse.
7. Referral program
Nodem may offer a referral program that rewards you for inviting new paying users. Eligibility and reward terms are described in the app. We may revoke rewards and suspend accounts that engage in self-referrals, duplicate accounts, fraudulent payment methods, or other abuse. Rewards have no cash value, are non-transferable, and may be modified or discontinued at any time.
8. Intellectual property
The Service, including its design, code, logos, and trademarks, is owned by Nodem LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-exclusive licence to use the Service for its intended purpose. All rights not expressly granted are reserved.
9. Third-party services
The Service relies on third-party providers, including Supabase (database, auth, and storage), Paddle (payments and Merchant of Record), and certain analytics and email providers. Your use of the Service is also subject to those providers' terms where applicable. We are not responsible for third-party services that we do not control.
10. Suspension and termination
You may stop using the Service at any time and delete your account from Settings → Danger Zone. We may suspend or terminate your access if you breach these Terms, create risk for Nodem or other users, fail to pay, or if required by law. Where reasonable, we will give you notice and an opportunity to cure.
Upon termination, your right to use the Service ends and we will delete Your Content in accordance with our Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that data will not be lost. You are responsible for maintaining your own backups (you can export at any time from Settings).
12. Limitation of liability
To the maximum extent permitted by law, Nodem LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid Nodem in the 12 months preceding the claim or (b) USD 50.
Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law. Some jurisdictions do not allow these limitations, so they may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless Nodem LLC from any claims, losses, or expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms.
14. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, except where mandatory consumer-protection laws of your country of residence require otherwise.
